Agreement
These terms are an agreement between Prodigyflo LLC, a Nevada limited-liability company ("ProdigyFlo", "we"), and the business that orders the ProdigyFlo platform ("Customer", "you"). A signed order form is part of these terms. If an order form conflicts with these terms, the order form controls. ProdigyFlo is offered to businesses only. By using it, you confirm that you are acting for a business and are authorized to bind it.
Accounts
- You're responsible for the users you invite and for everything done under your account.
- Keep sign-in details confidential, and tell us promptly at support@prodigyflo.ai if you suspect unauthorized access.
- We may suspend access that we reasonably believe threatens the service, other customers, or the law. We'll tell you why and restore access once the issue is fixed.
Fees and billing
- License fees are stated in your order form and invoiced monthly in advance.
- Calling and messaging usage, if used, is billed monthly in arrears at the rates in your order form.
- Invoices are due within 15 days. We may suspend the service for invoices more than 30 days overdue, after written notice.
- Fees don't include taxes. You pay any sales, use or similar taxes, other than taxes on our income.
- Fees already paid are not refundable, except where these terms or the law say otherwise, or where we end the service without cause.
Term and cancellation
- Your subscription runs month to month unless your order form sets a longer term.
- Either party may cancel at the end of a billing month with 30 days' written notice.
- Either party may end the agreement immediately if the other materially breaches it and doesn't fix the breach within 30 days of notice.
- If we end the service without cause, we'll refund any prepaid fees for the unused period.
- For 30 days after the agreement ends, you can ask us to export your data. After 90 days, we delete it, as described in our Privacy policy.
Customer data
You own the data you put into ProdigyFlo. You give us permission to host, process and show it only to provide and support the service for you. You're responsible for having the right to collect that data and to use it the way you do, including obtaining any consents required to call or text people. We handle personal information as described in our Privacy policy and protect it as described on our Security page.
Acceptable use
You agree to follow our Acceptable use policy, which is part of these terms.
Our property
We own the ProdigyFlo platform, its software and its content, and we grant you a non-exclusive, non-transferable right to use it during your subscription. Don't copy, resell, reverse-engineer or build a competing product from it. If you send us suggestions, we may use them without obligation to you.
Third-party services
Some features rely on third parties, such as telephone carriers and public-records sources. Their availability and accuracy are outside our control. Public records are provided as-is from the issuing agency, and you should verify them before relying on them.
Warranties
We'll provide the service with reasonable skill and care, consistent with industry standards. Apart from that, the service is provided "as is." To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. ProdigyFlo is software. It doesn't provide legal, financial or tax advice, and automated document reading must be confirmed by a person before you rely on it.
Liability
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Each party's total liability under this agreement is limited to the fees paid or payable by the Customer in the 12 months before the claim. These limits don't apply to a party's indemnity obligations, a breach of confidentiality, or amounts the Customer owes us.
You'll defend and indemnify us against third-party claims arising from your data or from your use of the service in breach of these terms or the law, including calling and messaging laws.
Governing law
These terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts in Clark County, Nevada. We may update these terms, giving customers at least 30 days' notice of material changes by email.
